Welcome to OrderSlots. By accessing or using our B2B pre-order portal and delivery management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and OrderSlots ("we," "us," or "our").

2. Service Description

OrderSlots provides a B2B platform that enables:

• Suppliers to create and manage delivery slots, product catalogs, and orders
• Buyers to browse suppliers, place pre-orders, and manage deliveries
• Automated order management, notifications, and reporting
• Payment processing and transaction management

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and represent a legitimate business entity to use OrderSlots. By registering, you represent and warrant that:

• You have the legal authority to bind your business to these Terms
• All registration information you provide is accurate and current
• You will maintain the accuracy of such information

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized use or security breach.

4. User Responsibilities

4.1 For Suppliers

As a supplier, you agree to:

• Provide accurate product information, pricing, and availability
• Honor all confirmed orders placed through the platform
• Deliver products according to specified delivery slots
• Maintain proper food safety and quality standards (if applicable)
• Respond promptly to buyer inquiries
• Comply with all applicable laws and regulations

4.2 For Buyers

As a buyer, you agree to:

• Place orders in good faith and honor confirmed orders
• Make timely payments for all orders
• Be available to receive deliveries during scheduled slots
• Communicate any issues or concerns promptly
• Provide accurate delivery information

5. Orders and Transactions

5.1 Order Placement

When a buyer places an order, it constitutes an offer to purchase. The supplier may accept or decline the order. Once accepted, a binding contract is formed between the buyer and supplier.

5.2 Pricing and Payments

• All prices are set by suppliers and displayed on the platform
• Prices are subject to change but confirmed orders honor the agreed price
• Payment processing is handled through our secure payment provider (Stripe)
• OrderSlots may charge service fees or commission on transactions

5.3 Cancellations and Refunds

Cancellation and refund policies are determined by individual suppliers. OrderSlots is not responsible for disputes between buyers and suppliers but may provide mediation support.

6. Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Harass, abuse, or harm other users
• Engage in fraudulent activities or misrepresentation
• Scrape or collect data without permission
• Circumvent or bypass buyer-supplier connections outside the platform to avoid fees

7. Intellectual Property

All content, features, and functionality of OrderSlots (including but not limited to software, design, text, graphics, and logos) are owned by OrderSlots and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you upload (product images, descriptions, etc.) but grant OrderSlots a license to use, display, and distribute such content on the platform.

8. Subscription Plans and Fees

8.1 Free Plan

OrderSlots offers a free forever plan with basic features. We reserve the right to modify features or pricing at any time with reasonable notice.

8.2 Premium Plans

Premium subscription plans may be offered with additional features. By subscribing:

• You agree to pay the subscription fees
• Subscriptions auto-renew unless cancelled
• Refunds are provided according to our refund policy
• We may change pricing with 30 days' notice

9. Disclaimers and Limitation of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE SERVICE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDERSLOTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

9.3 Third-Party Transactions

OrderSlots facilitates connections between buyers and suppliers but is not a party to their transactions. We are not responsible for disputes, product quality, delivery issues, or payment problems between users.

10. Indemnification

You agree to indemnify and hold harmless OrderSlots from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Extended inactivity
• At our sole discretion with or without cause

You may close your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation (if negotiation fails)
3. Binding arbitration (if mediation fails)

You agree to waive your right to participate in class actions or class arbitrations.
